Attorney's from the Williams Group devote full time to developing a boutique corporate and securities practice. Attorneys in the practice, after leaving a management and in-house counsel position with a large private healthcare firm, now focus almost exclusively on taking public small companies that do not qualify for traditional IPO transactions. Williams has built a solo practice billing in excess of $300,000 plus annually in the late 1990's by focusing on developing a network of business consultants and law firms with whom he works on these going public transactions. The Group is currently assisting the several companies to go public through the filing of selling stockholder registration statements on Form SB-2. Prior to forming the firm, Williams worked with Johnson, Blakely Pope, Bokor, Ruppel and Burns, P.A., Tampa and Clearwater, FL [1982-1991] where he prepared and filed all major types of filings with the SEC, including registration statements, annual and periodic reports, and stock transfer tracking forms such as Forms 3 and 4. He also prepared private placement memoranda and related blue sky filings, participated in structuring and negotiating many corporate transactions, drafting related documents including merger and acquisition agreements, asset purchase and sale agreements, employment contracts, and partnership agreements. Before joining Johnson, Blakely, Williams worked for two years with Sparber, Shevin, Miami FL [1980-1982] doing securities and general corporate work prior to relocating to the Tampa Bay area. And prior to that Williams was at the U.S. Securities and Exchange Commission, Washington, D.C. [1975-1980] and conducted investigations and secured judgments against individuals and corporations for violations of federal securities laws, including Fortune 500 companies such as Litton Industries - $200 million accounting fraud and GTE - Foreign bribery.
